Closd.co (“Closd,” “we,” “us,” or “our”) provides a global collaborative solution for legal document management, including a legal transaction management platform and a next-generation data room (the “Service”). This Privacy Policy describes how we collect, use, process, and disclose your information in connection with your use of our Service
We primarily process data on behalf of our clients (law firms, legal departments, etc.) who are the Data Controllers of the information they upload or create on the Service. For that information, we act as a Data Processor. However, we also collect certain personal data directly from our users for administrative and operational purposes.
A. Information Provided by Clients and Users (Processed on their Behalf)
This information is governed primarily by the agreement between the Client and Closd. This often includes:
Transaction/Project Data: Documents, contracts, communications, and other files uploaded to the data rooms or transaction management portals. This may contain sensitive and confidential information, including personal data of third parties (e.g., names, contact details, employment information).
User Content: Any content, data, or information that a user, on behalf of a Client, uploads, transmits, or generates while using the Service.
B. Information We Collect Directly from Users (Where Closd is the Controller)
Account and Contact Data: Name, email address, job title, company name, phone number, and password used to create and manage your user account.
Usage and Activity Data: Information related to how you use the Service, including:
Log Data: Time and date of access, features used, pages viewed, user activity logs within the data room (e.g., document access, downloads, Q&A interactions), IP address, and device information.
Technical Information: Browser type and settings, operating system, and language preferences.
Communication Data: Records of any communication with us, such as support requests or feedback.
Billing and Payment Data: Information necessary to process payments for the Service (handled securely via third-party providers, we do not store full payment card details)
A. As a Data Processor (For Client/Transaction Data)
We use the information uploaded by our Clients strictly to provide the Service in accordance with our contractual agreements and the Client’s instructions. This includes:
Operating the Service: Managing data rooms, facilitating document sharing, providing electronic signature functionality, and securing file sharing.
Maintenance and Support: Diagnosing and fixing technical issues and providing customer support.
B. As a Data Controller (For User/Account Data)
We use the data we collect directly for the following purposes:
Service Provision: To create, maintain, and secure your account and grant you access to the Service.
Communication: To send essential administrative, security, and service-related notifications.
Improvement: To monitor usage and analyze trends to improve the functionality, security, and user experience of the Service.
Security and Legal Compliance: To detect, prevent, and respond to fraud, abuse, and other illegal activities; to comply with legal obligations and enforce our terms and policies.
We are committed to protecting your data. We implement robust, industry-standard security measures, including physical, technical, and administrative safeguards, to protect against unauthorized access, disclosure, alteration, and destruction of the information we hold. Given the highly sensitive nature of the information processed (legal transactions), our security standards are designed to meet or exceed relevant regulatory requirements (e.g., European security standards for data rooms).
We will not sell or rent the personal data we collect. We only share information in the following circumstances:
With Our Clients and Other Authorized Users: Client/Transaction Data is shared with other authorized users designated by the Client (e.g., other lawyers, banks, accountants involved in the transaction) to facilitate collaboration within the Service.
Service Providers: We engage trusted third-party service providers (e.g., hosting, IT maintenance, payment processing) who perform services on our behalf. These providers are bound by strict confidentiality obligations and are only authorized to use the data as necessary to provide their services.
Affiliates: We may share information with our corporate affiliates and parent company (e.g., LexisNexis) for operational or business purposes, subject to this policy.
Legal Requirements: If required to do so by law, subpoena, or other legal process, or if we reasonably believe that such action is necessary to (a) comply with the law and the reasonable requests of law enforcement; (b) protect the security or integrity of our Service; or (c) exercise or protect the rights, property, or personal safety of Closd, our users, or others.
Business Transfers: In the event of a merger, acquisition, reorganization, or sale of assets, your information may be transferred as part of that transaction, provided the recipient adheres to a similar level of privacy protection
Closd is a global solution. Personal data may be stored and processed in any country where we have facilities or where we engage service providers. For users in the European Economic Area (EEA), we ensure that any transfer of personal data outside the EEA is carried out under appropriate safeguards, such as Standard Contractual Clauses (SCCs).
Depending on your location and whether Closd is acting as a Controller or Processor, you may have the following rights regarding your personal data:
Right of Access: Request a copy of the personal data we hold about you.
Right to Rectification: Request correction of inaccurate or incomplete data.
Right to Erasure (“Right to be Forgotten”): Request deletion of your personal data.
Right to Restriction of Processing: Request that we limit the way we use your personal data.

Note: If your personal data is contained within the Client/Transaction Data, the Client is responsible for addressing your data rights requests. You should direct such requests to the Client (the Data Controller). We will assist our Clients in fulfilling these requests as required by law.
